By accessing or using Expense Split Pro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Expense Split Pro is a web and mobile application that allows users to track shared expenses, manage group budgets, and settle payments among group members. The Service includes both free and paid subscription tiers.

3. Account Registration

• You must be at least 13 years old to use the Service
• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to refuse service or terminate accounts at our discretion

4. Subscription Plans and Billing

4.1 Subscription Tiers

• Free: Limited features, permanently free
• Plus: $4.99/month or $39.99/year (billed accordingly)
• Premium: $9.99/month or $79.99/year (billed accordingly)
• Enterprise: Custom pricing, contact sales

4.2 Free Trials

Plus and Premium plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without being charged.

4.3 Billing and Payment

• Subscription fees are billed in advance on a monthly or annual basis
• Payments are processed through secure third-party payment processors
• All fees are non-refundable except as required by law or our refund policy
• You authorize us to charge your payment method for all fees
• You are responsible for all taxes associated with your subscription

4.4 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• We offer a 30-day money-back guarantee for new paid subscriptions
• No partial refunds for unused time within a billing period
• Your data remains accessible (read-only) even after cancellation

4.5 Plan Changes

• You may upgrade or downgrade your plan at any time
• Upgrades take effect immediately with prorated billing
• Downgrades take effect at the end of the current billing period
• Feature limits apply based on your current plan

5. Data and Privacy

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• We may modify, suspend, or discontinue any part of the Service at any time
• We will provide notice of significant changes when reasonably possible
• Scheduled maintenance will be announced in advance when possible
• We are not liable for any loss or inconvenience due to service interruptions

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXPENSE SPLIT PRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Expense Split Pro and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

• You may terminate your account at any time through account settings
• We may terminate or suspend your account for violations of these Terms
• We may terminate accounts that have been inactive for extended periods
• Upon termination, your right to use the Service ceases immediately
• Data access will be limited based on your last active subscription tier
• Provisions that should survive termination will remain in effect

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at support@esp.synapticml.com to attempt to resolve the dispute informally.

12.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and not as part of a class action or consolidated proceeding.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Expense Split Pro
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
